Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EZ2Book software platform and services (collectively, the "Service") provided by EZ2Book ("EZ2Book," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these terms, do not use the service.

1. Description of Service

EZ2Book provides a cloud-based software platform for rental businesses ("Clients") to manage their fleet, bookings, maintenance, and online reservations. The Service includes a management dashboard for Clients and an embeddable widget for taking bookings from their customers ("End-Users").

2. Eligibility and Account Responsibility

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Fees and Payment

Clients agree to pay all applicable fees as described on our Pricing page, which may include a monthly subscription fee, per-fleet-item fees, and a platform fee per transaction processed through the Service ("Platform Fees"). All fees are billed in U.S. Dollars.

• Subscription Fees: Subscription fees are billed in advance on a recurring monthly or annual basis.
• Platform Fees: When using our online payment features, you agree that EZ2Book will charge a Platform Fee on each transaction paid by an End-User. This fee is separate from and in addition to any processing fees charged by Stripe.
• No Refunds: All fees are non-refundable. Please see our Refund Policy for more details.
• Taxes: You are responsible for all taxes associated with your use of the Service, excluding taxes on our net income.

4. Third-Party Payment Processing (Stripe Connect)

EZ2Book is a technology platform; we are not a bank or a money services business. Payment processing services for Clients on EZ2Book are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (collectively, the "Stripe Agreements").

By using the Service to accept payments, you agree to be bound by the Stripe Agreements, which may be modified by Stripe from time to time. As a condition of EZ2Book enabling payment processing services through Stripe, you agree to provide EZ2Book with accurate and complete information about you and your business, and you authorize us to share it and transaction information related to your use of the payment processing services provided by Stripe.

EZ2Book is not a party to the rental transaction between you (the Client) and your End-User. We are not responsible for any part of the rental service you provide. All disputes, chargebacks, refunds, cancellations, or other issues between you and your End-Users are solely your responsibility. We will not mediate disputes or be liable for any losses related to these transactions.

5. Acceptable Use

You agree not to use the Service to:

• Violate any local, state, national, or international law.
• Engage in any fraudulent, deceptive, or misleading activities.
• Infringe upon the intellectual property rights of others.
• Transmit any viruses, malware, or other malicious code.
• Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.

6. Termination

We reserve the right to suspend or terminate your account and access to the Service, at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms.

7. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.

8. Limitation of Liability

To the fullest extent permitted by law, in no event will EZ2Book, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service, including your end-users; (iii) any content obtained from the service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

In no event shall EZ2Book's aggregate liability for all claims relating to the Service exceed the greater of one hundred U.S. dollars ($100.00) or the amounts paid by you to EZ2Book in the 12 months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless EZ2Book and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms, or c) any dispute or issue between you and any third party, including your End-Users.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware.

Any dispute arising from these Terms or your use of the Service will be resolved by binding arbitration, on an individual basis, rather than in court. You and EZ2Book hereby waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or a jury. You further agree to waive your right to participate in any class action lawsuit or class-wide arbitration.

11. General Terms

These Terms constitute the entire agreement between you and EZ2Book regarding our Service. If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will be enforced. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
